These Terms & Conditions (the "Terms") are between you and Truthifi, Inc. ("Truthifi," "we" and "us") and govern your access to and use of our website ("Site") currently located at Truthifi.com and its respective products and services (collectively together with the "Site," the "Services"). Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services.
Truthifi's Services are offered and available to users 18 years of age and older that reside in the United States of America. By using Truthifi's Services you represent and warrant that you meet all the foregoing eligibility requirements. If you do not meet all these requirements, you must discontinue your use of Truthifi's Services.
We are continually trying to improve our Services, so these Terms may need to change along with the Services. We reserve the right to change the Terms at any time, when we do, we will post the updated Terms at truthifi.com/terms with an updated "Effective" and "Last updated" date and posting the updated Terms is how we provide notice of the change. We determine, in our reasonable discretion, whether a change is material. For material changes we will provide additional notice before they take effect by a reasonably appropriate method — email, an in-product message, or a prominent Site notice — except where a change must take effect immediately for legal, security, or fraud-prevention reasons or to comply with a Data Aggregator or financial-institution requirement. We may suspend or discontinue any part of the Services, or introduce new features or impose limits on certain features or restrict access to parts or all of the Services. We will try to give you advance notice of a material change that would adversely affect you, but this is not always practical. We also reserve the right to remove any Content or User Submissions from the Services at any time, for any reason, in our sole discretion, and without notice.
If you do not agree with the new Terms, you are free to reject them; this means you will no longer be able to use the Services. If you use the Services after a change to the Terms is effective, this means you agree to all of the changes.
Definitions
"Data Aggregators" means Morningstar | By All Accounts, Plaid, and Envestnet | Yodlee, and any other financial data aggregator we may support. "Financial Data" means your investment holdings, transaction, balance, and related financial information retrieved from the financial accounts you designate ("Data Sources"). "AI Features" means any Truthifi functionality that uses artificial intelligence or machine-learning models to answer questions about, analyze, or act on your Financial Data, including the Truthifi AI agent and the Truthifi MCP Server. "MCP Server" means Truthifi's Model Context Protocol interface that lets you connect an AI client or agent of your choice to your own Truthifi data. "Third-Party AI Tool" means any AI client, agent, application, or model provider that you connect to the MCP Server or otherwise direct to receive your data, and that is operated by a party other than Truthifi. "Model Provider" means a provider of AI models that processes data to generate responses. "Professional User" means a financial advisor, advisory firm, 401(k) or retirement-plan professional, family office, fintech, or other business or enterprise customer that uses the Services in a professional or commercial capacity, including on behalf of its own clients.
Linking your accounts to Truthifi's Services
By using the Services, you authorize and direct Truthifi, at your request, to access the financial services accounts ("Data Sources") that you designate — using the account log-in credentials you provide to the applicable Data Aggregator — to retrieve your Financial Data. You acknowledge that Morningstar | By All Accounts, Plaid, and Envestnet | Yodlee are Data Aggregators, and that Truthifi's Services connect to your Data Sources through them. The Data Aggregators are independent companies; you directly authorize the relevant aggregator to share your account data with Truthifi. In retrieving your Financial Data, Truthifi acts as your agent for the sole purpose of obtaining that data for you, and not as the agent of, or on behalf of, any Data Aggregator or financial institution. Truthifi receives your Financial Data and does not send your personal data back to the Data Aggregators. For more information on how each Data Aggregator handles your Financial Data, please see the applicable aggregator's privacy policy; if there is any inconsistency between an aggregator's policy and these Terms regarding that aggregator's activities, the terms of that aggregator's policy prevail.
Truthifi's access to your Data Sources is strictly read-only; Truthifi cannot move, transfer, or withdraw funds from your accounts.
Note: Data presented to users who have linked Fidelity Investments accounts to Truthifi using Plaid reflect the results of Truthifi's proprietary analysis of holdings and transactions data within those accounts, and do not represent an official record of those Fidelity Accounts.
Acceptable use of your Financial Data. The Financial Data is provided so you can access and analyze your own accounts. In addition to the other restrictions in these Terms, you agree that you will:
use it only for your own personal, non-commercial purposes (or, if a Professional User, as permitted for you);
not sell, rent, redistribute, or sublicense it, except as permitted for Professional Users or as you direct through a connected Third-Party AI Tool;
not copy or store it except as reasonably necessary for your own permitted use;
not use it, or any derived output, to build or train a competing product or any AI/ML model, or to engage in model extraction;
not reverse engineer, decompile, or “scrape,” or access the Services or any Data Aggregator’s systems by unauthorized means;
keep credentials confidential and report unauthorized access;
not use any Data Aggregator’s or institution’s name or marks without permission; and
not use it for any unlawful, fraudulent, deceptive, infringing, or abusive purpose.
You acknowledge each Data Aggregator accesses your accounts as your agent, read-only, not as agent of any financial institution.
Additional data-provider requirements. Your use of Financial Data is also subject to any additional requirements our data providers or the financial institutions they connect to impose on end users, which we may pass through; where any conflicts with these Terms as to that provider’s data, that requirement controls to the extent of the conflict.
AI Features, the MCP Server, and Consumer-Directed Access
Truthifi offers optional AI Features that let you ask questions about and analyze your own Financial Data. You may use AI Features in two ways, and different terms apply to each:
(a) Truthifi-provided AI. When you use an AI Feature that Truthifi operates, Truthifi may transmit your Financial Data (or information derived from it) to Model Providers that act as Truthifi's service providers, solely to generate responses for you, under confidentiality and data-minimization obligations. Where such terms are available, we require these Model Providers not to retain your data beyond the session and not to use it to train their models.
(b) Your own AI tool (the MCP Server). When you connect a Third-Party AI Tool to the MCP Server, you are directing your own data to a destination you choose. You authorize Truthifi to make your Financial Data (and information derived from it) available to that Third-Party AI Tool at your request. You acknowledge that Truthifi does not operate or control Third-Party AI Tools, and that any Model Provider or application you connect may handle your data under its own terms and privacy policy, including possible retention or use to train models. You are responsible for reviewing and accepting those terms. Truthifi is not responsible for how a Third-Party AI Tool you connect uses, stores, or discloses your data once you direct that data to it.
(c) Access only through approved agents. Your Financial Data may be accessed through the AI Features only via (i) AI Features Truthifi operates using Model Providers Truthifi has approved and engaged as service providers, and (ii) a Third-Party AI Tool or client that Truthifi has reviewed and approved and that you authorize via OAuth. Only approved clients may register for or obtain access to the MCP Server or the Truthifi API. Truthifi may add, refuse, condition, suspend, or remove any client, agent, or Model Provider at any time, in its reasonable discretion. You may review and revoke authorized clients in your account settings.
Consent. Before your data is made available to an AI Feature, you authenticate to Truthifi. You may withdraw your authorization and revoke connected AI clients at any time through your account settings; withdrawal stops future AI processing but does not reverse processing already performed.
Your own use only. AI Features are provided for access to and analysis of your own Financial Data (or, for Professional Users, your authorized clients' data), for your own use. Directing your own data to a Third-Party AI Tool that acts on your behalf is permitted; using AI Features on behalf of, or for the benefit of, any other person or third party — other than as expressly permitted for Professional Users under "The basics of using Truthifi" — is not.
Data-source restrictions and our right to gate. Your Data Aggregators and the financial institutions they connect to may impose requirements or restrictions on the use of Financial Data with AI, including restrictions on specific institutions or on Third-Party AI Tools. Truthifi may limit, condition, suspend, or disable AI Features — in whole or in part, including by blocking a specific AI provider or client from access to the MCP Server, or on a per-institution, per-account, or per-data-category basis — at any time, including (i) to comply with a Data Aggregator or institution requirement or request; (ii) at your request; or (iii) to protect you, Truthifi, or a provider. For example, if an aggregator or institution requires that its data not reach a particular AI provider, or you ask us to disable one, we may block that provider from the MCP Server and the AI Features. Certain data (including data provided through Morningstar | By All Accounts and any proprietary or licensed data contained in your feeds) may be excluded from AI Features. Your sole remedy for dissatisfaction with any such change is to stop using the affected feature.
Derived information. You control which of your accounts and data are made available to AI Features. We are progressively limiting AI Features to Truthifi-computed insights derived from your Financial Data (rather than raw account records), and give you control over whether raw account records are included.
No professional advice. Output from AI Features is provided for educational and informational purposes only, may be inaccurate or incomplete, and is not financial, investment, tax, or legal advice. The "Disclaimers" and "Limitation of Liability" sections apply fully to AI Features.
Privacy
Truthifi takes the privacy of its users very seriously. Our Privacy Policy, available at truthifi.com/privacy, explains how we treat your personal data and protect your privacy when you use our Site and Services. By using our Services, you agree that Truthifi can use such personal data accordingly.
The basics of using Truthifi
You will be required to sign up for an account, and select a password and user name ("Truthifi User ID"). You promise to provide us with accurate, complete, and updated registration information about yourself. You may not select as your Truthifi User ID a name that you do not have the right to use, or another person's name with the intent to impersonate that person. You may not transfer your account to anyone else without our prior written permission.
Personal and professional use. If you are an individual consumer, you will use the Services for your own internal, personal, non-commercial use. If you are a Professional User, you may use the Services in a professional or commercial capacity, including on behalf of your clients, provided that: (i) you are authorized by each client to access and act on that client's data and to bind that client to the extent necessary; (ii) your use complies with these Terms, all applicable laws, and your own professional, fiduciary, and regulatory obligations; (iii) if you and Truthifi have entered into a separate written agreement covering your use (an "Enterprise Agreement"), that Enterprise Agreement governs and, to the extent of any conflict with these Terms, controls for that use. You may direct a Third-Party AI Tool that acts on your behalf to access your own data (or, for Professional Users, your authorized clients' data) through the MCP Server or the Truthifi API. Except as expressly permitted above, you will not use the Services on behalf of, or for the benefit of, any third party. Truthifi is not responsible for usage of its Services in any way that breaks the law; and (iv) your use of any Financial Data obtained through a Data Aggregator or financial institution is permitted only to the extent allowed by that provider’s requirements for end users, and Truthifi may condition, restrict, or disable professional or commercial use of data from any source to comply with those requirements.
You are responsible for the security of your account, password and any activity associated with your account.
Your use of the Services is subject to the following additional restrictions. You represent, warrant, and agree that you will not contribute any Content or otherwise use or interact with the Services in a manner that:
Infringes or violates the intellectual property rights or any other rights of anyone else (including Truthifi);
Violates any law or regulation, including any applicable export control laws;
Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;
Jeopardizes the security of your Truthifi account or anyone else's (such as allowing someone else to log in to the Services as you);
Attempts, in any manner, to obtain the password, account, or other security information from any other user;
Violates the security of any computer network, or cracks any passwords or security encryption codes;
Runs MailList, Listserv, any form of auto-responder or "spam" on the Services, or any processes that run or are activated while you are not logged into the Services, or that otherwise interferes with the proper working of the Services (these automation restrictions do not apply to your authorized use of the MCP Server, the Truthifi API, or AI Features as described in the "AI Features" section);
"Crawls," "scrapes," or "spiders" any page, data, or portion of or relating to the Services or Content (through use of manual or automated means);
Uses the Services, any Truthifi artificial-intelligence models, or any output of the Services to develop or train any artificial-intelligence or machine-learning model or related product or service, whether or not competitive with Truthifi; or engages in model extraction, exfiltration, or similar attacks, or attempts to derive any model, model parameters, or model weights of the Services;
Copies or stores any significant portion of the Content; or
Decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Services.
A violation of any of the foregoing is grounds for termination of your right to use or access the Services.
Content displayed or available on or through the Services is protected by copyright and/or other intellectual property laws. You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content you access through the Services, and you will not use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purpose any Content not owned by you, without the prior consent of the owner of that Content or in a way that violates someone else's (including Truthifi's) rights.
You understand that Truthifi owns the Services. You agree not to modify, publish, transmit, participate in the transfer or sale of, reproduce (except as expressly provided in this Section), create derivative works based on, or otherwise exploit any of the Services.
The Services may allow you to copy or download certain Content; please remember that just because this functionality exists, does not mean that all the restrictions above do not apply – they do!
Content you provide
Truthifi's Services may contain interactive services that allow you to contribute, post, submit, publish, display, or transmit content such as questions, responses, commentary, and observations that you create or otherwise provide ("User Content"). User Content does not include your Financial Data. By creating or providing User Content within Truthifi's Services, you grant Truthifi and its service providers, successors and assignees a fully paid, perpetual, worldwide right and license to use, reproduce, modify, display, perform, distribute and otherwise disclose such User Content to provide the Services. By submitting Content, you represent and warrant that you own or control all rights in your User Content sufficient to grant the above license, that you are responsible for any User Content that you create or provide, and that you take full responsibility for the legality, accuracy, and appropriateness of such User Content.
Aggregated / de-identified data
We may create aggregated, de-identified, or anonymized data from the data we collect, including by removing information that makes the data personally identifiable to a particular user, and we may use and disclose such data for our lawful business purposes, provided that we will not disclose it in a manner that could reasonably identify you. We take appropriate technical measures to minimize re-identification risk.
Disclaimers
You access the Services and all Content at your own risk. Neither Truthifi nor its licensors or suppliers makes any representations or warranties concerning any content contained in or accessed through the Services, and we will not be responsible or liable for the accuracy, copyright compliance, legality, or decency of material contained in or accessed through the Services.
Computed information; data accuracy. Truthifi aggregates information from third-party sources and generates computed outputs — including scores, allocations, performance figures, fees, and other calculations — to provide context and help you understand your finances. This information is provided for informational and contextual purposes only. It is derived from third-party data that may be delayed, incomplete, or inaccurate, and Truthifi's computations are not guaranteed to be accurate, complete, or current, and are not a substitute for the official statements of your custodian or financial institution. You should not rely on Truthifi's computed outputs as the sole basis for any financial decision, and you should verify important figures against your official account records.
Unless specifically disclosed, you acknowledge and agree that Truthifi is not a financial institution, consumer reporting agency, investment adviser, or broker, and that the Services and any Output are not a "consumer report"; the Services provide factual, data-driven information only and do not constitute investment, financial, tax, or legal advice.
No Content can or should be construed as professional advice of any kind (including financial planning, business, employment, investment, accounting, tax, and/or legal advice). The Content is provided for educational purposes only, and is not intended to be a substitute for the professional advice of a financial planner, financial advisor, accountant or otherwise. We are not liable for any errors or omissions in the Content or for any damages or loss you might suffer in connection with it. We cannot control and have no duty to take any action regarding how you may interpret and use the Content or what actions you may take as a result of having been exposed to the Content, and you hereby release us from all liability for your having acquired or not acquired Content through the Services.
Limitation of Liability
TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL TRUTHIFI (OR ITS LICENSORS, SUPPLIERS OR SERVICE PROVIDERS) BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, OR (B) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE GREATER OF (I) $100 OR (II) THE AMOUNTS PAID BY YOU TO TRUTHIFI IN CONNECTION WITH THE SERVICES IN THE TWELVE (12) MONTH PERIOD PRECEDING THIS APPLICABLE CLAIM, OR (C) ANY MATTER BEYOND OUR REASONABLE CONTROL. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.
Indemnity
You agree to indemnify and hold Truthifi, its affiliates, officers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys' fees) arising from or in any way related to any third-party claims relating to (a) your use of the Services (including any actions taken by a third party using your account, and including your use of, or direction of your data to, any Third-Party AI Tool), and (b) your violation of these Terms. In the event of such a claim, suit, or action ("Claim"), we will attempt to provide notice of the Claim to the contact information we have for your account.
Assignment
You may not assign, delegate or transfer these Terms or your rights or obligations hereunder, or your Services account, in any way (by operation of law or otherwise) without Truthifi's prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent.
Governing law
You agree that your relationship with Truthifi under these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to any choice or conflict of laws rules or provisions. All claims arising out of or relating to these Terms, the Site, or the Services will be instituted exclusively in the federal or state courts of Delaware, USA, and you and Truthifi consent to personal jurisdiction in those courts. Any cause of action or claim you may have with respect to the Services must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. You further agree to attempt informal resolution prior to instituting any legal action, mediation, or arbitration.
Miscellaneous
The failure of either you or us to exercise, in any way, any right herein shall not be deemed a waiver of any further rights hereunder. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Terms shall otherwise remain in full force and effect and enforceable. You and Truthifi agree that these Terms are the complete and exclusive statement of the mutual understanding between you and Truthifi (together with any Enterprise Agreement, for Professional Users), and that it supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms. You hereby acknowledge and agree that you are not an employee, agent, partner, or joint venture of Truthifi, and you do not have any authority of any kind to bind Truthifi in any respect whatsoever.
